This agreement (hereinafter, the “Agreement”) between Dr. Lila Lewenstein, ND (“Doctor Lila,” “we,” “our,” or “us”) and you sets forth the terms and conditions which govern your use of our websites and associated platforms (hereinafter, the “Sites”) and/or the services thereon, including online courses and consultations (hereinafter, the “Services”).

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE ACCESSING OR USING ANY OF THE SITES AND/OR SERVICES. BY ACCESSING OR USING THE SITES AND/OR SERVICES, YOU AGREE TO BE BOUND BY THE TERMS AND CONDITIONS SET FORTH BEL OW. 

We may modify this Agreement at any time, and such modifications shall be effective immediately upon posting the modified Agreement on the Site. Your continued access or use of the Site and/or the Services shall be deemed your conclusive acceptance of the modified Agreement.

 

1. Services Offered, Limited License, and Medical Disclaimer

 

The services offered on this Site include online educational courses (e.g., the “Understanding Hypothyroidism and Hashimoto’s” Course) and clinical services, specifically Functional Medicine Consultations, Hormone Replacement Therapy (HRT), and Peptide Therapy.

  • Limited License: We grant you a limited, personal, non-exclusive, and non-transferable right and license to access the Sites and use the Services for your personal and non-commercial use only, unless otherwise specified in writing.

  • Educational Purpose Only: All content provided on the Site, including courses, articles, and supplementary materials, is for informational and educational purposes only. It is not a substitute for professional medical advice, diagnosis, or treatment from a qualified healthcare provider.

  • No Doctor-Patient Relationship (Courses): Your use of the Site or purchase of a course does not create a doctor-patient relationship. A doctor-patient relationship is only established upon formal acceptance and initiation of a clinical care plan following a consultation.

  • Professional Advice Disclaimer: You should not rely on the information on this Site as a substitute for, nor does it replace, professional medical advice, diagnosis, or treatment. The use of any information provided on this Site is solely at your own risk. You should always consult with a physician or other qualified health-care professional.

 

2. Prohibited Activities and User Conduct

 

In connection with your use of the Sites and/or the Services, you acknowledge and agree that you will not:

  • Copy or Reverse Engineer: Copy, reverse engineer, distribute, or transfer any information, software, products, or services obtained through the Sites or the Services.

  • Transmit Harmful Content: Transmit any message, data, text, or content that is unlawful, harmful, defamatory, vulgar, obscene, or otherwise objectionable.

  • Impersonation and Spam: Impersonate any person or entity (including a Doctor Lila official), or post or transmit any unsolicited advertising, “junk mail,” “spam,” or any form of solicitation.

  • System Interference: Use the Site or the Services in any manner that could damage, disable, overburden, or impair our servers or networks, or interfere with any other user’s use and enjoyment of the Sites.

  • Violation of Rights: Upload or transmit any material that infringes any patent, trademark, copyright, or other proprietary rights of any party.

  • Sharing Credentials: Share your username and/or password with anyone else. Sharing access is a violation of these Terms and will result in immediate termination of your access.

 

3. Billing, Renewal, and Payment Policies

 

  • Accurate Information: You agree to provide current, complete, and accurate purchase and account information for all transactions. You shall be responsible for all charges incurred through your account.

  • Automatic Renewal: Any subscription-based Services will be automatically renewed and your credit card will be automatically charged based on the billing terms for your account, unless you elect to terminate your subscription by notifying us.

  • Refunds: All purchases of digital online courses or programs are generally non-refundable. Specific refund policies will be stated at the point of purchase.

  • Payment Failure: If payment cannot be charged to your credit card or is refunded for any reason (including chargeback), we reserve the right to immediately suspend or terminate your access and account without notice. You remain obligated to pay any amounts still owed at the time of termination.

 

4. Account Security and Access

 

If any of the Sites or Services require you to open an account, you must complete the registration process accurately.

  • Responsibility: You are entirely responsible for maintaining the security and confidentiality of your account and password. You are entirely responsible for any and all activities and conduct that occur through your account.

  • Security Breach: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

 

5. Intellectual Property and Submission Materials

 

  • Ownership: The Sites and Services contain proprietary and confidential information protected by applicable intellectual property laws, and are the sole property of us or our licensors.

  • Submission Materials: By sending or transmitting to us creative suggestions, ideas, notes, concepts, or other materials (“Submission Materials”), you grant us a worldwide, non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, and display such Submission Materials in any media for any purpose whatsoever, commercial or otherwise, without compensation to you.

 

6. Disclaimer of Warranties and Limitation of Liability

 

YOU ACKNOWLEDGE THAT THIS SITE OFFERS HEALTH, FITNESS, AND NUTRITIONAL INFORMATION FOR EDUCATIONAL PURPOSES ONLY.

  • Disclaimer of Warranties: THE SITES AND THE SERVICES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR  PURPOSE. Your use of the Sites and the Services is entirely at your own risk. 

  • Limitation of Liability: NEITHER WE NOR OUR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, OR AGENTS ARE RESPONSIBLE OR LIABLE TO YOU OR ANYONE ELSE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES ARISING OUT OF OR RELATING IN ANY WAY TO (i) THE USE OF OR INABILITY TO USE THE SITES OR THE SERVICES, OR (ii) ANY ACTION TAKEN IN RESPONSE TO OR AS A RESULT OF ANY INFORMATION AVAILABLE ON THE SITES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR USING ANY OF THE SERVICES OR THE SITES.

 

7. Indemnification and Governing Law

 

  • Indemnification: You agree to indemnify, defend, and hold us and our officers, directors, agents, and employees harmless from and against any and all claims, damages, losses, costs, or expenses (including reasonable attorneys’ fees) which arise directly or indirectly out of or from (i) your breach of this Agreement, (ii) any allegation that materials you submit infringe or violate the intellectual property rights of a third party, and (iii) your access or use of the Sites and/or the Services.

  • Governing Law and Jurisdiction: This Agreement and the relationship between you and us shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. You and we irrevocably agree to submit to the personal and exclusive jurisdiction of the federal and state courts located within the county of San Diego, in the State of California.

 

8. Third-Party Links and Kajabi

 

  • Third-Party Links: The Sites and/or Services may contain links to third-party sites. We neither control nor endorse these Linked Sites and are not responsible for the content or practices of any third parties.

  • Kajabi Platform: This Site is hosted by Kajabi, LLC. Your use of this Site is also governed by the Kajabi® website Terms of Use and its policies.

 

9. Changes and Termination

 

  • Changes to Terms: We reserve the right to change or modify these Terms at any time. Your continued use of the Site after any such changes constitutes your acceptance of the new Terms.

  • Termination: We reserve the right to immediately terminate or suspend your access to the Site or any purchased course, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
